Signalytics PPC Software Conditions of Use

By using Signalytics’ PPC Software (“Software”), you agree to these Conditions of Use. If you do not accept these terms, do not use the Software.

Signalytics grants a non-exclusive, non-transferable license to use the Software for internal business purposes.

• Reverse engineer the Software.

• Spread malicious code.

• Exploit the Software commercially without authorization.

11. Disclaimers and Limitation of Liability

• Disclaimers: The Software is provided “as is” without warranties. No guarantee of uninterrupted or error-free use.

These terms are governed by the laws of the state where Signalytics is headquartered, excluding conflict of law principles.

13.Indemnification

You agree to indemnify, defend, and hold harmless Signalytics, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorney’s fees and costs, arising out of or in any way connected with your access to or use of the Software, your violation of these Conditions of Use, or your infringement of any intellectual property or other rights of Signalytics or any third party.

14.Limitation of Actions

You agree that any cause of action arising out of or related to the Software must commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

15.Severability

If any provision of these Conditions of Use is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Conditions of Use and shall not affect the validity and enforceability of any remaining provisions.

16.Entire Agreement

These Conditions of Use, together with our Privacy Policy and any other legal notices published by Signalytics, constitute the entire agreement between you and Signalytics regarding the use of the Software.

17.Waiver

No waiver of any term of these Conditions of Use shall be deemed a further or continuing waiver of such term or any other term, and Signalytics’ failure to assert any right or provision under these Conditions of Use shall not constitute a waiver of such right or provision.

18.Force Majeure

Signalytics shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Signalytics’ reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation.
